Welcome to AlliedStack. By accessing our website or engaging our services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Services Description

AlliedStack provides nearshore engineering staffing and software development services. We connect clients with qualified engineering talent based in Latin America for staff augmentation and dedicated team purposes. The specific scope of services for each client is defined in individual Statements of Work (SOW) or Master Services Agreements (MSA).

2. Intellectual Property

Unless otherwise specified in a separate written agreement:

  • Client Ownership: All code, designs, documentation, and other work product created by AlliedStack engineers specifically for the Client under a paid engagement shall be considered "work made for hire" and shall be the exclusive property of the Client.
  • AlliedStack IP: AlliedStack retains ownership of its pre-existing intellectual property, methodologies, tools, and general knowledge used to deliver the services.

3. Limitation of Liability

To the maximum extent permitted by law, AlliedStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use our services; or (b) any conduct or content of any third party.

4. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida.

5. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
